1. The Service

ConnectWiz lets businesses receive and respond to messages from channels such as WhatsApp, Facebook Messenger, Instagram and Telegram, manage contacts, and optionally use AI-assisted replies. We may update, improve or change features over time.

2. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be authorised to act on behalf of the business you register.

3. Acceptable use

You agree not to use the Service to:

• send spam, or send messages without the recipient’s required consent;
• distribute unlawful, harmful, deceptive or infringing content;
• violate the terms or policies of any connected channel (including the WhatsApp Business and Meta Platform policies);
• attempt to breach security, reverse engineer, or disrupt the Service;
• use the Service in violation of applicable law.

4. Your content and your customers’ data

You retain ownership of the content and contact data you process through the Service. You are responsible for having a lawful basis and any required consent to message your contacts and to process their personal data. You grant us the rights needed to host and process that data to provide the Service.

We process your customers’ personal data on your behalf under our Data Processing Agreement (app.connectwiz.net/dpa), which forms part of these Terms and which you accept together with them.

5. Third-party integrations

The Service connects to third-party platforms (such as Meta and Telegram). Your use of those integrations is also subject to the relevant third party’s terms, and their availability is outside our control.

The providers we engage to process personal data on your behalf are listed on our Sub-processors page (https://app.connectwiz.net/subprocessors), together with how we tell you about changes. Services you connect with your own account or key receive data on your instruction and are not our sub-processors.

6. Fees and billing

Paid plans are billed in advance on a recurring basis and according to your usage and selected plan. Fees are non-refundable except where required by law or as set out in section 6 of the Data Processing Agreement. We may change pricing with prior notice.

7. Intellectual property

The Service, including its software, design and trademarks, is owned by ConnectWiz and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

8. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties and do not guarantee that the Service will be uninterrupted, error-free or that messages will always be delivered by third-party channels.

9. Limitation of liability

To the fullest extent permitted by law, ConnectWiz will not be liable for indirect, incidental or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid for the Service in the 12 months before the claim.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, your data is handled as described in our Privacy Policy and Data Deletion page.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email, and continued use after the changes take effect constitutes acceptance.

12. Governing law and jurisdiction

If you are established in Türkiye, these Terms are governed by the laws of the Republic of Türkiye and the courts and enforcement offices of Istanbul (Çağlayan) have jurisdiction. Otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware have jurisdiction. Mandatory rules of the law of your country that cannot be excluded by contract remain unaffected.

1. Hizmet

ConnectWiz; işletmelerin WhatsApp, Facebook Messenger, Instagram ve Telegram gibi kanallardan gelen mesajları almasını ve yanıtlamasını, kişileri yönetmesini ve isteğe bağlı olarak yapay zekâ destekli yanıtlar kullanmasını sağlar. Özellikleri zaman içinde güncelleyebilir, geliştirebilir veya değiştirebiliriz.

2. Hesaplar

Doğru bilgi vermeli, kimlik bilgilerinizi güvende tutmalı ve hesabınız altındaki tüm etkinlikten sorumlu olmalısınız. Kaydettiğiniz işletme adına hareket etmeye yetkili olmalısınız.

3. Kabul edilebilir kullanım

Hizmeti şu amaçlarla kullanmamayı kabul edersiniz:

• spam göndermek veya alıcının gerekli onayı olmadan mesaj göndermek;
• hukuka aykırı, zararlı, yanıltıcı veya hak ihlali oluşturan içerik dağıtmak;
• bağlı herhangi bir kanalın koşul veya politikalarını (WhatsApp Business ve Meta Platform politikaları dahil) ihlal etmek;
• güvenliği aşmaya çalışmak, tersine mühendislik yapmak veya Hizmeti aksatmak;
• Hizmeti yürürlükteki yasalara aykırı şekilde kullanmak.

4. İçeriğiniz ve müşterilerinizin verileri

Hizmet aracılığıyla işlediğiniz içeriğin ve kişi verilerinin mülkiyeti sizde kalır. Kişilerinize mesaj göndermek ve kişisel verilerini işlemek için hukuki bir dayanağa ve gereken onaya sahip olmaktan siz sorumlusunuz. Bu verileri Hizmeti sunmak için barındırmak ve işlemek için gereken hakları bize verirsiniz.

Müşterilerinizin kişisel verilerini sizin adınıza, bu Koşulların parçası olan ve onlarla birlikte kabul ettiğiniz Veri İşleme Sözleşmemize (app.connectwiz.net/dpa) göre işleriz.

5. Üçüncü taraf entegrasyonları

Hizmet, üçüncü taraf platformlara (Meta ve Telegram gibi) bağlanır. Bu entegrasyonları kullanımınız ilgili üçüncü tarafın koşullarına da tabidir ve bunların erişilebilirliği kontrolümüz dışındadır.

Kişisel verileri sizin adınıza işlemek için çalıştığımız sağlayıcılar, değişiklikleri size nasıl bildirdiğimizle birlikte Alt işleyenler sayfamızda (https://app.connectwiz.net/subprocessors) listelenir. Kendi hesabınız veya anahtarınızla bağladığınız hizmetler veriyi sizin talimatınızla alır ve bizim alt işleyenlerimiz değildir.

6. Ücretler ve faturalama

Ücretli paketler, kullanımınıza ve seçtiğiniz pakete göre, yinelenen şekilde ve peşin olarak faturalandırılır. Ücretler, yasanın gerektirdiği haller ve Veri İşleme Sözleşmesi’nin 6. bölümü dışında iade edilmez. Fiyatlandırmayı önceden bildirimle değiştirebiliriz.

7. Fikri mülkiyet

Yazılımı, tasarımı ve ticari markaları dahil Hizmet, ConnectWiz’e ve lisans verenlerine aittir. Bu Koşullar size Hizmeti kullanmak için sınırlı, münhasır olmayan, devredilemez bir hak verir; başka hak verilmez.

8. Sorumluluk reddi

Hizmet "olduğu gibi" ve "mevcut haliyle" sunulur. Yasanın izin verdiği azami ölçüde tüm garantileri reddederiz; Hizmetin kesintisiz veya hatasız olacağını ya da mesajların üçüncü taraf kanallarca her zaman iletileceğini garanti etmeyiz.

9. Sorumluluğun sınırlandırılması

Yasanın izin verdiği azami ölçüde ConnectWiz; dolaylı, arızi veya sonuçsal zararlardan ya da kâr veya veri kaybından sorumlu olmayacaktır. Herhangi bir talebe ilişkin toplam sorumluluğumuz, talepten önceki 12 ayda Hizmet için ödediğiniz tutarla sınırlıdır.

10. Fesih

Hizmeti kullanmayı istediğiniz zaman bırakabilir ve hesabınızı kapatabilirsiniz. Bu Koşulları ihlal etmeniz halinde veya Hizmeti korumak için erişimi askıya alabilir ya da sonlandırabiliriz. Fesih halinde verileriniz Gizlilik Politikamızda ve Veri Silme sayfamızda açıklandığı şekilde işlenir.

11. Koşullardaki değişiklikler

Bu Koşulları zaman zaman güncelleyebiliriz. Önemli değişiklikler Hizmet üzerinden veya e-posta ile bildirilir; değişiklikler yürürlüğe girdikten sonra kullanmaya devam etmeniz kabul anlamına gelir.

12. Uygulanacak hukuk ve yetkili mahkeme

Türkiye’de yerleşikseniz bu Koşullar Türkiye Cumhuriyeti hukukuna tabidir ve İstanbul (Çağlayan) mahkemeleri ile icra daireleri yetkilidir. Aksi hâlde bu Koşullar, kanunlar ihtilafı kuralları dikkate alınmaksızın ABD Delaware Eyaleti hukukuna tabidir ve Delaware’deki eyalet ve federal mahkemeler yetkilidir. Ülkenizin sözleşmeyle bertaraf edilemeyen emredici kuralları saklıdır.
